Terms & Conditions

These Terms & Conditions ("Terms") form a legally binding agreement between you ("User", "you") and Zarion ("Zarion", "we", "our") governing access to and use of the Zarion website, dashboard, APIs, data feeds, AI-generated signals, related applications, and any content or services provided (collectively, the "Service"). By creating an account, accessing, or using the Service you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Eligibility

You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal authority to enter these Terms. Use is prohibited where restricted by applicable laws or sanctions.

2. Account Registration & Security

• Provide accurate and complete information during registration.
• Maintain the confidentiality of credentials; you are responsible for all activities under your account.
• Promptly notify us of unauthorized use or security incidents.
• We may require MFA or other security controls.

3. Subscription Plans & Billing

• Access to premium features requires an active paid subscription.
• Plans, pricing, included usage limits, and billing cycles are described at checkout or within the dashboard.
• Unless cancelled, subscriptions auto-renew at the then-current rates.
• Taxes (VAT/GST/Sales) may be added based on your billing region.
• Upgrades take effect immediately (prorated); downgrades apply next billing period.

4. Cancellations & Refunds

You may cancel at any time via the dashboard; access persists until period end. Refunds are generally not provided except where required by law or stated in a specific guarantee. We reserve the right to issue goodwill credits at our sole discretion.

5. Acceptable Use

• No scraping, bulk exporting, or systematic copying of signals beyond permitted plan quotas.
• No reverse engineering, decompiling, or attempting to derive source code or model weights.
• No use to develop competing datasets or derivations offered publicly without prior written consent.
• No unlawful, infringing, harmful, or abusive conduct; no circumvention of technical safeguards.
• No use for market manipulation, spoofing, wash trading, or activity violating securities, commodities, or financial regulations.

6. Intellectual Property

The Service, underlying models, software, UI design, logos, trademarks, and aggregated analytics are proprietary to Zarion and/or licensors. Users receive a limited, revocable, non-transferable license to access and use the Service as expressly permitted. Feedback may be used by Zarion irrevocably and royalty‑free.

7. User Content & Feedback

Content you input (watchlists, notes, preferences) remains yours. You grant Zarion a non-exclusive license to host, process, transmit, display, and analyze such content solely to provide and improve the Service.

8. AI Outputs

AI/ML generated outputs (signals, scores, classifications) are probabilistic and may be incomplete, delayed, or erroneous. They should not be treated as guaranteed or real-time market data. Use independent judgement.

9. Third-Party Services

Integrations or links to external services are provided for convenience; we are not responsible for their content, security, or availability. Third parties may impose additional terms.

10. Confidentiality

Any non-public information disclosed by Zarion that is marked or should reasonably be understood as confidential must be protected and not disclosed except as required by law.

11. Data Protection & Privacy

Processing of personal data is governed by our Privacy Policy. You agree to review that document for details on data practices.

12. Service Availability & Modifications

We aim for high availability but do not guarantee uninterrupted service. Maintenance windows, incidents, force majeure events, and network issues may impair access. Features may evolve; legacy functionality may be deprecated with reasonable notice.

13. Suspension & Termination

We may suspend or terminate access (with or without notice) for violations of these Terms, legal risk, security threats, non-payment, or if required by law. Upon termination: licenses end, and we may delete or anonymize account data per retention practices.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND (EXPRESS, IMPLIED, STATUTORY), INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR THAT OUTPUTS WILL PRODUCE SPECIFIC RESULTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZARION SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU IN THE 6 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

16. Indemnification

You agree to defend, indemnify, and hold harmless Zarion and its officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service or violation of these Terms.

17. Export & Sanctions Compliance

You represent that you are not located in or a resident of any jurisdiction subject to comprehensive sanctions and are not a denied or restricted party under applicable export control laws.

18. Governing Law & Venue

Unless mandatory local law applies, these Terms are governed by the laws of the Netherlands, excluding conflict rules. Disputes shall be resolved in the competent courts located in Amsterdam, Netherlands.

19. Dispute Resolution; Informal Process

Before formal proceedings, parties agree to attempt good faith resolution via written notice and a 30-day informal negotiation period.

20. Changes to Terms

We may modify these Terms. Material changes will be communicated (dashboard or email). Continued use after the effective date constitutes acceptance.

21. Severability

If any provision is held invalid, remaining provisions remain in effect. No waiver of any term shall be deemed a further or continuing waiver.

22. Entire Agreement

These Terms, plus referenced policies, form the entire agreement and supersede prior representations or agreements.
